AGREEMENT Global Tobacco Research Network (GTRN) services include the time sharing services, data and databases that are offered as a custom electronic communications network ("Network") sponsored by the National Cancer Institute of the United States and operated b 2. RESPONSIBILITY FOR ACCOUNT USAGE You are responsible for all information or action originated by your GTRN identification (you or anyone using GTRN identification) and for any violation of this Agreement by anyone using your GTRN identification. 3. RIGHTS OF INFORMATION All information offered on the Network is the sole and exclusive property of either the GTRN, or its subcontractors and you agree that, unless specific permission is granted in writing, you will not publish, broadcast, retransmit, or resell such information or in any way violate the copyright of any provider of information to the Network. This provision is for the benefit of the GTRN and its subcontractors and each shall have the right to enforce its rights hereunder and on its own behalf. 4. MANAGEMENT OF THE NETWORK The GTRN reserves the right to add, modify, or delete any of the services offered on the Network at any time. 5. DISCLAIMER OF WARRANTIES Services on the Network are offered on an AS IS basis. Neither the GTRN nor its subcontractors make any warranties, express or implied, concerning these services, including without limitation, warranties of merchantability and warranties of fitness for a particular purpose. In no event shall the GTRN or its subcontractors be liable for any direct, indirect, special or consequential damages caused by any failure of performance, mistakes, omissions, interruptions, deletion of files, defects, delays in operations or transmission, communications lines failure, theft, destruction, unauthorized access to or use of your Network records, files or programs, or for any failure of inability to perform by the GTRN or its subcontractors dues to any cause beyond their control. 6. TERM AND TERMINATION This agreement is effective from the date of acceptance by the GTRN of your Membership Application. Except as indicated below and in Section 2 hereof, this Agreement may be terminated by either party without cause upon 30 days written notice to the other party. The GTRN shall have the right to terminate this Agreement or suspend access to the Network without notice in the event that you: a. have breached this Agreement in any way; b. have used the Network for unlawful or improper purpose or unauthorized advertising; c. have interfered or threatened to interfere with any other person's privacy or proprietary rights; d. have proffered insults towards other Network Member(s). Neither the GTRN nor its subcontractors shall be liable to you for any cost, expense, or damages whatsoever for terminating this Agreement as provided in Section 7 hereof.
